Terms of Service

These Terms of Service ("Terms") govern your access to and use of Spyvero, including our website, application, dashboards, reports, APIs, audit tools, monitoring tools, billing flows, and related services (collectively, the "Service"). These Terms apply to all visitors, users, account holders, organization members, administrators, customers, API users, and anyone else who accesses or uses the Service. "Spyvero," "we," "us," and "our" refer to the operator of the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing the website, creating an account, starting a trial, purchasing credits, subscribing to a paid plan, inviting team members, accessing an audit, using an API key, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, Refund Policy, and any plan, checkout, or order terms presented to you at the time of purchase. If you use the Service on behalf of a company, agency, client, or other organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

Spyvero is an ad intelligence and creative research platform for growth marketers. The Service helps users search, organize, analyze, cluster, score, and monitor publicly available advertising data, including information available from sources such as the Meta Ads Library and other public or third-party services.

The Service may include live ad audits, stored audit history, creative clustering, scoring signals, competitor or market monitoring, downloadable creative references, team workspaces, usage credits, alerts, and API access depending on your plan.

Spyvero is not affiliated with, endorsed by, sponsored by, or approved by Meta Platforms, Inc. or its affiliates. References to Meta, Facebook, Instagram, Ads Library, or similar names are for descriptive purposes only.

2. Eligibility

You may use the Service only if you are at least 18 years old and legally able to enter into a binding agreement. You may not use the Service if you are barred from doing so under applicable law, sanctions rules, export controls, platform policies, or these Terms.

You are responsible for making sure that your use of the Service is lawful in the jurisdictions where you and your users operate.

3. Accounts and Security

You must provide accurate, current, and complete account information and keep it updated. Failure to do so is a breach of these Terms and may result in suspension or termination of your account. You are responsible for all activity that occurs under your account, organization, workspace, team invitations, API keys, payment methods, and credentials, whether those credentials are issued by Spyvero or by a third-party identity provider connected to the Service.

You agree to:

  • Keep login credentials, magic links, passwords, and API keys confidential.
  • Use reasonable security controls for all users with access to your organization.
  • Promptly notify us if you suspect unauthorized access or credential compromise.
  • Ensure that every invited team member uses their own account.
  • Not share, sell, lease, sublicense, or transfer account access except as permitted through built-in team features.

We may treat actions taken from your account, organization, or API key as authorized by you.

4. Organizations, Teams, and Administrators

If you create, own, administer, or join an organization in Spyvero:

  • The organization owner and administrators may manage billing, plan selection, credits, team members, roles, invitations, usage, and organization settings.
  • You are responsible for the acts and omissions of users in your organization.
  • Team members may access organization data according to their assigned roles.
  • Removing a user may not delete historical records of actions taken while that user belonged to the organization.
  • If there is a dispute over control of an organization, we may suspend changes, request verification, or rely on the records and payment ownership available to us.

You are responsible for obtaining all necessary authority and consent before inviting users, uploading logos or files, submitting client data, or using the Service for a client or employer.

5. Subscriptions, Plans, Credits, and Billing

Some parts of the Service require a paid subscription, usage credits, one-time purchase, add-on, or other paid entitlement. Prices, included credits, plan limits, billing periods, and available features are shown at checkout, in the app, or in plan materials. Spyvero currently uses Paddle for supported subscription, credit, invoice, customer portal, tax, refund, dispute, and payment-method flows.

Unless stated otherwise:

  • Subscriptions renew automatically until cancelled.
  • You authorize us, Paddle, and related payment providers to charge your payment method for recurring fees, usage-based fees, taxes, and other charges you approve.
  • Credits are a metered usage entitlement for the Service and are not stored value, currency, cryptocurrency, gift cards, or cash equivalents.
  • Credits may expire, reset, be consumed, or be limited according to the plan, checkout terms, in-app disclosures, or applicable policy.
  • Audit costs may vary by scan depth, result volume, compute requirements, or product configuration.
  • We may update plans, pricing, credits, quotas, and feature packaging prospectively.
  • Taxes, payment processing fees, foreign exchange fees, Paddle fees, and bank charges may apply and are your responsibility unless legally required otherwise.

If a payment fails, is reversed, is disputed, or cannot be processed through Paddle or a related payment rail, we may suspend or limit access, downgrade your plan, withhold paid features, pause audits or monitors, revoke credits, or cancel the affected purchase.

6. Cancellations and Refunds

You may cancel a subscription through the available Paddle billing portal or by contacting support if a self-service cancellation path is unavailable. Cancellation stops future renewal charges but does not automatically refund fees already paid.

Refunds are governed by our Refund Policy and any mandatory consumer rights that apply to you. Unless required by law or expressly stated in writing, subscription fees, consumed credits, partially used services, completed audits, completed top-ups, custom services, and data already delivered are non-refundable.

7. Public and Third-Party Data

Spyvero collects, receives, organizes, stores, processes, or displays data from public sources, user-submitted queries, third-party services, and technical providers. This may include ad text, creative media, landing page metadata, page names, public advertiser information, ad identifiers, activity dates, platform labels, and related analytical signals.

You understand and agree that:

  • Public advertising libraries and third-party sources can be incomplete, delayed, unavailable, rate-limited, inaccurate, changed, removed, or regionally restricted.
  • We do not control Meta, public ad libraries, advertisers, landing pages, payment processors, scraping providers, cloud infrastructure, email providers, or other third-party services.
  • We do not guarantee that any ad, advertiser, campaign, creative, spend proxy, cluster, score, export, or monitor is complete, current, accurate, available, lawful for every use, or suitable for your specific purpose.
  • Media and external URLs may expire, change, become unavailable, or be archived according to our retention practices and technical constraints.
  • Scores, clusters, labels, rankings, trends, and recommendations are analytical estimates, not statements of fact about actual ad spend, business performance, budget, revenue, profit, legality, or endorsement.

You are solely responsible for independently verifying information before relying on it for advertising, legal, financial, investment, competitive, or business decisions.

8. Acceptable Use

You may use the Service only for lawful business, marketing, research, and competitive intelligence purposes. You agree not to:

  • Violate any law, regulation, sanctions rule, export control, court order, platform policy, third-party terms, or intellectual property right.
  • Use the Service to harass, defame, threaten, discriminate, surveil, stalk, or target any person unlawfully.
  • Use the Service to build, train, improve, benchmark, or operate a competing ad intelligence, scraping, creative library, monitoring, enrichment, lead generation, or data resale product without our written permission.
  • Resell, sublicense, redistribute, publish, bulk export, mirror, scrape, crawl, frame, cache, or make the Service or its data available to third parties except as expressly allowed by your plan.
  • Circumvent plan limits, rate limits, credit controls, paywalls, security controls, API limits, usage metering, or access restrictions.
  • Use bots, browser automation, credential sharing, account cycling, fake accounts, load testing, or automated extraction outside our documented interfaces and your plan limits.
  • Reverse engineer, decompile, disassemble, probe, scan, or attempt to discover source code, models, scoring formulas, infrastructure, non-public APIs, or security vulnerabilities except through an authorized security program.
  • Interfere with, disrupt, overload, damage, or impair the Service or any third-party systems connected to it.
  • Upload or submit malware, harmful code, deceptive content, unlawful content, sensitive personal data that is not needed for the Service, or data you lack rights to use.
  • Misrepresent Spyvero outputs as official platform data, guaranteed performance data, legal advice, financial advice, or private advertiser information.
  • Remove attribution, proprietary notices, or usage restrictions from reports, exports, media, or other materials.

We may investigate suspected violations and may suspend or terminate access, revoke API keys, throttle usage, remove content, notify affected parties, or preserve and disclose information where permitted or required by law.

9. Customer Inputs and User Content

"Customer Inputs" means queries, keywords, competitor names, domains, URLs, uploaded files, organization settings, comments, prompts, instructions, API requests, logos, and other information you provide to the Service.

You retain ownership of Customer Inputs. You grant Spyvero a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, store, display, analyze, modify for technical formatting, and use Customer Inputs as needed to provide, secure, support, maintain, and improve the Service.

You represent that you have all rights, permissions, and lawful bases necessary to provide Customer Inputs and to authorize our processing of them. You are responsible for Customer Inputs and for the consequences of using them in the Service.

Do not submit confidential, regulated, sensitive, or legally restricted information unless your plan and written agreement with us expressly support that use.

10. Spyvero Materials and Intellectual Property

The Service, software, design, interfaces, workflows, databases, compilations, documentation, scoring systems, clustering logic, reports, dashboards, trademarks, logos, and other materials created or provided by Spyvero are owned by Spyvero or its licensors and are protected by intellectual property and other laws.

Subject to these Terms and your plan limits, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

No rights are granted except as expressly stated in these Terms. You may not copy, modify, create derivative works from, distribute, sell, lease, host, or commercially exploit any part of the Service except as expressly allowed by us in writing or through a paid plan feature.

11. Third-Party Content and Intellectual Property

The Service may display or reference third-party advertisements, images, videos, text, trademarks, logos, page names, landing pages, links, or other materials. Third-party content remains owned by its respective owners.

Spyvero does not grant you ownership of or independent rights to third-party content. Your ability to view, download, export, reference, share, reproduce, or use third-party content may be limited by copyright, trademark, publicity, privacy, platform terms, advertising policies, and other laws. You are responsible for obtaining any permissions required for your intended use.

If you believe content available through the Service infringes your rights, contact us with enough information to identify the content and evaluate the issue.

12. APIs, Exports, and Downloads

If your plan includes API access, exports, alerts, downloads, webhooks, or integrations, you must use them only within your documented plan limits and for your authorized internal business purposes.

We may impose, change, or enforce limits on requests, concurrency, result volume, storage, seats, audits, monitors, historical access, exports, downloads, and data retention. We may rotate, revoke, or disable API keys where needed for security, abuse prevention, unpaid fees, excessive usage, or Terms violations.

Exports and downloads are provided for convenience. You remain responsible for how you store, secure, share, and use exported information.

13. Service Availability and Changes

We work to provide a reliable Service, but we do not guarantee uninterrupted, error-free, or perfectly current access. The Service may be unavailable, delayed, degraded, modified, or discontinued due to maintenance, infrastructure issues, third-party outages, data-source changes, capacity limits, security events, legal requirements, or other reasons.

We may add, remove, suspend, replace, limit, or change features, providers, audit depths, scoring logic, clustering thresholds, data retention periods, integrations, plans, and technical infrastructure at any time. We will try to provide reasonable notice for material changes that negatively affect paid subscriptions where practical.

14. Third-Party Websites and Links

The Service may contain links, previews, redirects, references, or pointers to third-party websites, landing pages, advertiser pages, ad libraries, payment portals, customer portals, social platforms, documentation, or other external services that we do not own or control.

We are not responsible for the content, accuracy, availability, security, products, services, privacy practices, terms, policies, or actions of any third-party website or service. You access third-party websites and services at your own risk. We encourage you to review the terms and privacy policies of any third-party website or service you visit or use.

15. Compliance Responsibilities

You are responsible for using the Service in compliance with all laws, regulations, contracts, platform policies, advertising policies, employment obligations, agency-client obligations, and privacy requirements that apply to you.

Spyvero does not provide legal, financial, investment, tax, advertising compliance, or platform policy advice. You should consult qualified professionals before making decisions that require professional judgment.

You may not use the Service in a way that would require Spyvero to comply with industry-specific obligations unless we have expressly agreed in writing, including obligations for protected health information, payment card data outside approved payment processors, government classified data, or highly sensitive personal data.

16. Confidentiality

Non-public information about the Service, including private product roadmaps, security information, API credentials, unreleased features, non-public pricing, custom commercial terms, and technical implementation details, is confidential. You may not disclose such information except to your personnel or advisors who need to know it and are bound by confidentiality obligations at least as protective as these Terms.

This section does not restrict information that is public through no fault of yours, independently developed without reference to our confidential information, or lawfully received from a third party without confidentiality restrictions.

17. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Service, you acknowledge our Privacy Policy.

If you submit personal information about others, you represent that you have provided all required notices and obtained all required permissions or lawful bases for us to process that information in connection with the Service.

18. Feedback

If you send us ideas, suggestions, feature requests, bug reports, comments, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation. We are not required to treat feedback as confidential.

19. Beta, Preview, and Experimental Features

We may offer beta, preview, experimental, or early access features. These features may be incomplete, changed, removed, inaccurate, unstable, rate-limited, or subject to additional terms. You use them at your own risk and should not rely on them for critical decisions.

20. Suspension and Termination

We may suspend, limit, or terminate your access to the Service, organizations, paid features, audits, monitors, credits, API keys, or data immediately, with or without prior notice, if:

  • You violate these Terms or other policies.
  • Your payment fails, is disputed, is reversed, or appears fraudulent.
  • Your usage creates legal, security, operational, reputational, or third-party platform risk.
  • We are required to do so by law, a third-party provider, or a competent authority.
  • You use the Service in a way that harms us, other users, third parties, or the Service.
  • We otherwise determine that suspension or termination is necessary to protect the Service, users, third parties, or our legal or business interests.

You may stop using the Service at any time. Upon termination, your right to use the affected Service will immediately cease. Termination does not relieve you of fees owed, usage charges, confidentiality obligations, indemnity obligations, or restrictions that by their nature should survive.

After termination, we may retain, delete, anonymize, archive, or restrict access to account data, audit history, logs, exports, media, and other information according to our retention practices, Privacy Policy, legal obligations, and technical constraints.

21. Disclaimers

THE SERVICE AND ALL DATA, REPORTS, SCORES, CLUSTERS, ALERTS, EXPORTS, MEDIA, LINKS, ANALYTICS, AND OTHER MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYVERO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, CURRENT, COMPLETE, VIRUS-FREE, OR COMPATIBLE WITH YOUR SYSTEMS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYVERO AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, LICENSORS, AND PAYMENT OR INFRASTRUCTURE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, SUBSTITUTE SERVICES, OR LOSS ARISING FROM THIRD-PARTY DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SPYVERO FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) USD $100.

The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and otherwise. They do not limit liability that cannot be limited by law.

23. Indemnification

You will defend, indemnify, and hold harmless Spyvero and its owners, officers, directors, employees, contractors, affiliates, suppliers, licensors, and payment or infrastructure providers from and against any claims, demands, actions, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use or misuse of the Service.
  • Customer Inputs or other content you provide.
  • Your exports, downloads, reports, API usage, or sharing of Service outputs.
  • Your violation of these Terms, law, third-party rights, platform terms, or advertising policies.
  • Your products, services, clients, campaigns, business decisions, or disputes with third parties.
  • Activity by users in your organization or anyone using your credentials or API keys.

We may control the defense of any indemnified claim at your expense. You may not settle any claim in a way that imposes obligations on Spyvero without our written consent.

24. Third-Party Services

The Service may depend on or integrate with third-party services, including Paddle for supported payments and billing, hosting providers, databases, storage providers, analytics or diagnostic tools, monitoring tools, scraping providers, support chat providers, email providers, identity providers, and public data sources. Your use of third-party services may be subject to their own terms and policies.

We are not responsible for third-party services, third-party content, outages, policy changes, fees, data practices, or decisions to suspend, restrict, or terminate access.

25. Communications

You consent to receive electronic communications from us, including emails, in-app notices, billing notices, security alerts, service announcements, legal notices, and support messages. Electronic communications satisfy any legal requirement that communications be in writing.

You may opt out of non-essential marketing communications where an opt-out mechanism is provided, but we may still send transactional, billing, security, and account-related communications.

26. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date and will try to provide at least 30 days' notice before the new terms take effect where practical. What counts as a material change will be determined in our reasonable discretion. We may make non-material changes, clarifications, or legally required changes with shorter or no advance notice.

Changes are effective when posted unless a later date is stated. Your continued use of the Service after changes become effective means you accept the updated Terms. If you do not agree, you must stop using the Service and cancel any paid subscription.

27. Governing Law and Disputes

These Terms are governed by the laws applicable to the jurisdiction where Spyvero's operating entity is established, without regard to conflict of law principles, except where mandatory consumer protection laws require otherwise.

Before filing a claim, you agree to first contact us and try to resolve the dispute informally. If a dispute cannot be resolved informally, it will be handled by the competent courts or dispute-resolution forum that has jurisdiction over Spyvero's operating entity, unless applicable law gives you a non-waivable right to bring a claim elsewhere.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief for misuse of intellectual property, confidential information, credentials, security systems, or the Service.

28. General Terms

These Terms, together with the Privacy Policy, Refund Policy, plan terms, checkout terms, and any written agreement signed by both parties, are the entire agreement between you and Spyvero regarding the Service.

If any provision is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Service. There are no third-party beneficiaries except as expressly stated.

Headings are for convenience only. The word "including" means "including without limitation." Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, confidentiality, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
